How disclosure works
Three laws, three clocks. Every row on the site says which one it ran on.
Congress
A member of Congress has 45 days to disclose a trade.
The STOCK Act of 2012 requires a periodic transaction report within 45 days of a trade above $1,000, filed in a band rather than an amount. Every row shows the trade date, the filing date and the days between.
Insiders
A corporate insider has two business days.
Section 16 of the Exchange Act requires officers, directors and 10% holders to file a Form 4 within two business days, with a transaction code that says whether it was an open-market decision or compensation plumbing.
Fund managers
A large manager reports its holdings 45 days after the quarter ends.
A manager with $100 million or more in US equities files a 13F within 45 days of each quarter end. It lists holdings on the last day of the quarter, so a 13F always describes the past.
